1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Soft Learn Hub ("Company," "we," "us," "our"), governing your access to and use of the SEOPacket Tool website, application, APIs, and related services (collectively, the "Service").

By registering for, accessing, or using SEOPacket, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of entering into a binding contract to use SEOPacket. By using the Service, you represent and warrant that you meet these requirements.

3. Description of Service

SEOPacket is a SaaS platform providing tools including, but not limited to:

• Keyword research and search volume analysis;
• On-demand site scans that run when you open a project, and a free daily check that emails you if your site has a serious problem (you can switch these emails off in Settings);
• Website/technical SEO audits and page-speed recommendations;
• Google rank tracking;
• Backlink and competitor analysis;
• AI search-visibility ("AI/GEO") checks across AI assistants;
• An MCP/API integration for connecting your own AI tools to your SEOPacket data;
• Reporting, dashboards, and exportable data.

Features and tools are subject to change. We do not guarantee specific search engine ranking outcomes, traffic increases, AI-assistant visibility, or business results from use of the Service.

4. Account Registration

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately of any unauthorized use of your account or any other security breach.
• One account may not be shared across multiple unrelated users or organizations without our written permission.

5. Wallet Top-Ups, Fees, and Billing

5.1 No Subscription

SEOPacket does not use subscription plans or recurring billing. Access to the Service itself is free — you only pay for the specific billed actions you actually run (for example, a rank-tracking check, a backlink check, or an AI/GEO visibility check), deducted from a prepaid wallet balance.

5.2 Top-Ups

• You add funds to your wallet by making a one-time top-up of at least $10 (US dollars) via Gumroad, our payment processor and merchant of record. You choose the amount at checkout, and the full amount you pay is added to your balance; Gumroad emails you the receipt.
• You may choose to fund a shared wallet balance usable across all of your projects, or fund a specific project's own balance.
• Top-ups are not recurring and do not auto-renew. No payment is ever taken without you actively initiating a top-up.
• Each billed action deducts its provider cost plus a platform fee (currently 15%) from the balance you choose to pay from, at the time the action runs. Every billed action is labeled as paid in the app before you run it, and every deduction is itemized in Settings.
• Some features are free and never deducted from your balance: on-demand site scans, site crawls, page audits, PageSpeed checks, GEO readiness checks, features powered by your own Google Search Console data (including indexing checks), reading cached results, and AI triage paid for by SEOPacket (subject to reasonable daily limits).
• As merchant of record, Gumroad calculates and collects any sales tax, VAT or GST that applies to your top-up at checkout; that tax is not added to your SEOPacket balance.

5.3 Promotional Signup Credit

New accounts may receive a one-time promotional credit (currently $1.00) in their shared wallet balance, added once the account's email address is verified. The credit:

• is limited to one per person, and to a limited number of new accounts from the same network, as determined by our abuse-prevention systems;
• can be used for any billed action, has no cash value, and cannot be refunded, withdrawn, or transferred;
• may be withheld, or removed from an account's balance, where we reasonably believe it was obtained through multiple accounts, false or disposable identities, or other abuse.

We may change or end the promotional credit at any time; doing so does not affect credit already added to an account in good standing.

5.4 Refunds

Wallet top-ups are non-refundable once added, except where required by applicable law. Unused wallet balance remains available in your account for future use; it does not expire. If a top-up is refunded, or reversed through a chargeback or payment dispute, the same amount is removed from the balance it was added to — which can take that balance below zero, blocking billed actions until it is topped up again. If a dispute is later resolved in our favor, the amount is added back.

5.5 Insufficient Balance

If the balance you choose to pay from is $0 or less, new billed actions are blocked until you top up — your account and any previously generated data remain fully accessible. Because a provider's exact cost is only known once a request completes, an action that was already running can take a balance slightly below zero; that amount is simply deducted from your next top-up. A multi-request action (for example, checking many keywords at once) stops as soon as the balance runs out.

5.6 Balance Corrections

We may correct a balance that was credited or charged in error — for example, refunding the cost of a paid check that failed on our side — or add a goodwill credit. A correction never takes a balance below zero, and every one appears in your top-up history in Settings. Balance corrections are not a way to refund a top-up; refunds follow Section 5.4.

5.7 Deleting a Project

Deleting a project permanently deletes its SEO data. Any balance held by that project moves to your shared balance, so no prepaid funds are lost.

6. Cancellation and Termination

• By You: Since there is no subscription to cancel, you may simply stop using the Service at any time. You can delete your account yourself in Settings → Your data → Delete my account, or ask us to using the contact details below; deletion is immediate and permanent (see our Privacy Policy). Any remaining wallet balance is forfeited on deletion, per Section 5.4.
• By Us: We reserve the right to suspend or terminate your account, with or without notice, if you: (a) violate these Terms; (b) engage in fraudulent, abusive, or illegal activity, including abuse of promotional credits; or (c) pose a security risk to the Service or other users. A suspension takes effect immediately: you are signed out, sign-in and API access are blocked while it lasts, and any apps connected to your account (such as Claude) are disconnected. For serious or repeated violations we may ban an account permanently, which also revokes its API keys and prevents the same email address from being used to sign up again. If you believe your account was suspended or banned in error, contact support@seopacket.com.
• Effect of Termination: Upon termination, your right to access the Service ceases immediately. We may delete your account data after a reasonable grace period, as described in our Privacy Policy.

7. Acceptable Use Policy

You agree not to:

1. Use SEOPacket for any unlawful purpose or in violation of any applicable local, national, or international law;
2. Attempt to gain unauthorized access to the Service, other users' accounts, or our systems/infrastructure;
3. Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
4. Use automated scripts, bots, or scrapers to access the Service other than through the MCP/API integration, or beyond the rate and usage limits the Service applies (for example, scan rate limits and daily limits on free AI features);
5. Resell, sublicense, or white-label the Service without a separate written agreement with us;
6. Use the Service to analyze or attack websites you do not have authorization to assess, in a manner that violates third-party terms of service or applicable law;
7. Upload or transmit malicious code, viruses, or engage in activity that disrupts or degrades the Service for other users;
8. Misrepresent your identity or affiliation, or impersonate any person or entity;
9. Use the Service to generate spam, misleading SEO practices, or engage in black-hat techniques that violate search engine guidelines in a manner intended to cause harm to third parties;
10. Create multiple accounts, or use false or disposable identities, to obtain promotional credits or to evade usage limits or a suspension.

We reserve the right to investigate and take appropriate action, including suspension or termination, against users who violate this policy.

8. Intellectual Property Rights

8.1 Our IP

The Service, including its software, design, branding, logos, text, graphics, and underlying technology, is owned by Soft Learn Hub and/or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

8.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use SEOPacket for your internal business purposes.

8.3 Your Content

You retain ownership of any data, domains, keywords, or content you submit to the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use your User Content solely to provide and improve the Service.

8.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

9. Third-Party Data and Integrations

SEOPacket relies on third-party data sources (e.g., search engine APIs, keyword databases) for certain features. We do not control and are not responsible for the accuracy, availability, or completeness of third-party data. Where you connect third-party integrations (e.g., Google Search Console), your use of those integrations is also governed by the respective third party's terms, and — for Google specifically — our handling of any data obtained through your Google account follows the Google API Services User Data Policy, including its Limited Use requirements, as detailed in Section 5 of our Privacy Policy. Connecting Google Search Console is entirely optional and can be disconnected at any time from the Projects page; doing so never affects your access to the rest of the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SEO DATA (RANKINGS, VOLUMES, BACKLINKS, ETC.) WILL BE FULLY ACCURATE OR RESULT IN IMPROVED SEARCH PERFORMANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFT LEARN HUB AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Soft Learn Hub and its officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your User Content.

13. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service (including specific features) at any time, with reasonable notice where the change materially reduces functionality for users with an active wallet balance.

14. Data Backup

While we implement reasonable backup procedures, you are responsible for maintaining independent backups of any critical data or reports exported from SEOPacket. We are not liable for data loss.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Islamabad, Pakistan, or resolved via binding arbitration if the parties so agree in writing.

Nothing in these Terms limits any rights you have as a consumer under the mandatory laws of the country where you live.

16. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or in-app notice at least 15 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Soft Learn Hub regarding the Service and supersede any prior agreements.
